ARTICLE I - GENERAL:
A. Name: The organization shall be called GATORS IN PARADISE PARROT HEAD CLUB ( GIPPHC )
B. PURPOSE: The purpose of the organization is to promote the GATORS IN PARADISE PARROT HEAD CLUB as a humanitarian group, sharing community and environmental information for majority approved mutual benefits. The
organization will engage in activities, which are charitable, educational, high spirited and promote the general welfare of
community.
C. STATEMENT OF PURPOSE: GIPPHC is
a non - profit organization dedicated to preserving and improving, the environment, active in community oriented projects
and concerns as a means of social interaction with like minded people interested in the lifestyle and music of "Jimmy Buffett" and
a tropical spirit.
D. DISCLAIMER: We
are recognized by, but in no way attached to " Jimmy Buffett" and his business interest in Key West, New Orleans, Charleston and Orlando.
We are not associated with HK Management, MCA Records, Island Records, Mailbox Records or Margaritaville Records. We would
like to stress that Mr. Buffett's name and his song titles, lyrics, names of businesses owned by Mr. Buffett and the term
"Parrot Head" are all registered
trademarks and shall not be used for the pursuit of profit, Clubs are allowed to use the term "Parrot Head" on T- shits, etc. but, not "Jimmy Buffett's" name.
ARTICLE II - MEMBERSHIP AND DUES:
A. CLUB MEMBERSHIP:
Membership in Gators
in Paradise PHC shall be open to all regardless of sex, creed, national origin or sexual preference.
A member will be considered in good standing so long as his/hers dues are current.
B. DUES: The annual dues of GIPPHC will be as follows:
1. The annual dues of one year will run February
1st thru January 31st.
2. Dues renewals are due not later than the end of February each year.
3. Membership renewal notice will be mailed by January 1st.
4. Cost $20.00 per person $35.00 per
couple (includes one (1) name badge) additional badges are $5.00 each. Children under 17 are free.
5. Payment of dues entitles each member to membership identification and the
right to participate in all activities and club business.
6. If, a member wishes to terminate his/her membership between anniversary dates, there will
be no refund of any portion of dues.
ARTICLE III - MEETINGS:
A. SOCIAL MEETINGS: The club
shall attempt to schedule at least one social
event each month.
B. BUSINESS MEETINGS: The club shall have a business meeting
each month on the third Sunday. These meetings will be conducted by the Board Members. Any
member in good standing may attend the business meetings and will conduct themselves in a professional manner. All club decisions
at the business meeting will be by a simple majority with the exception of a change to the by-laws which, will require a 2/3rd
majority. Minutes will be taken at all meetings.
C. EXECUTIVE
BOARD MEETING: The Board will meet on an as needed basis. In the event that a decision needs to be made
before the next scheduled business meeting, all board members must be consulted and a majority of the Board members will have
to vote in the affirmative for the item to pass.
SECRETARY: The secretary shall:
1. Ensure that minutes are recorded at all business meetings.
2. Perform other duties as designated by the President.
3. The Secretary will post the minutes from monthly general meetings via group e-mail (or standard e-mail distribution
method) within 14 days of the meeting. Copies will also be available upon request by any member in good
standing via individual mail.
4. The Secretary is responsible
for overseeing the creation and publication of the newsletter.
5.
Upon leaving office the Secretary shall pass on all materials, books,notes and records from the present
and prior years, in good condition, to the succeeding secretary.
D. TREASURER: The treasurer shall:
1. Record and keep track of all financial functions and transactions.
2. Balance accounts.
3. Upon leaving office, the treasurer shall pass on, for the present and prior years, all funds, records, and
books in good order to the succeeding Treasurer.
BOARD MEMBERS: There will be seven (7) Board Members.
This number can be increased by a vote of the Board. Each Board Member shall serve a term of two (2) years.
F. VACANCIES:
Vacancies in all positions can be created by resignation, abandonment of duties (as further defined)
or, by violation of any articles of the By - Laws. A position shall be defined as abandoned if the Board Member is absent
from all business without just cause for a period of four consecutive months.
G. ABANDONMENT: Just cause will be determined by a unanimous
vote of all Board Members.
H. FOUNDER(S): KATHY KAZ and
CHERYL WARD are recognized as... FOUNDERS of the "GATORS IN PARADISE PARROT HEAD CLUB." Should either resign their respective position, they will
always be known as the founders of said club and will retain status of executive director/s to help in any internal matters
and acting as advisor's to the executive board.
ARTICLE
V - COMMITTEE ROLES:
A. GENERAL: The
following standing committees are established in order to maximize involvement and participation of club members. Web Page,
Newsletter, Events, Merchandise and Membership. Other special committees may be established by the Board Members and/or general
membership to deal with specific problems.
B. COMMITTEE
ROLES: The purpose of all committees is to ensure that day to day functions and special events are completed
in a timely manner. They are also required to keep the Board informed of all plans and progress

and keep Club Internet Web Site current.
2. Newsletter
- Ensure the club newsletter is published at least four times a year, normally January, April, July
and October delivery.
3. Membership - Ensure that there is an active recruiting program for new members and renewals within
the GIPPHC .
Work with treasurer to ensure membership list are accurate and renewals are sent out on time.
4. Merchandise - Maintain an adequate supply of club merchandise
with proceeds going towards funding GIPPHC
events.
5. Events - Coordinate schedule
of all club social and charitable activities and communicate to the Board on a monthly basis.
ARTICLE VI - INFRACTIONS OF BY-LAWS:
A. If action is taken against a GIPPHC member for an infraction/s
of the GIPPHC By
-Laws, the member will be informed in writing within 30 days of the
GIPPHC Board's decision. The member
who submitted the original statement of alleged infraction/s shall be provided with a copy of the Board's decision.
B. The Board may suspend from the GIPPHC any member whom the entire Board determines no longer meets the requirements for
membership set forth in Article II of these By-Laws and/or "Code of Conduct." This
must be done by a unanimous vote. The vote suspends such member's membership in the "Gators in Paradise PHC" and all rights and
privileges associated therewith.
C. At the next scheduled GIPPHC meeting, the member shall be informed of the decision and the information
will be properly recorded in the minutes.
D. Gators in Paradise
PHC Executive Board decisions are considered final.
E. Altruism: Events and/or activities sponsored by GIPPHC will have a portion of the proceeds raised donated to a designated
charity. The club will donate time and/or money to at least one local charity each
year. The club will be involved in at least one environmental cause a year. The Events Committee has the responsibility to
make recommendations to the general membership as to which charities to support. Individuals may also recommend charities.
F. Gators in Paradise Parrot Head Club Expenditures/Reimbursements/Budgets: GIPPHC members will be reimbursed or approved for expenditures for GIPPHC related
activities such as, but not limited to: construction materials, necessary supplies for official club events, other official
and/or club sponsored functions, prior to spending monies shall:
Obtain approval, in
writing, from the Executive Board for expenditures not to exceed $50.00.
Obtain approval,
in writing, from the Executive Board for expenditures of $1000.00 or more and, in addition, expenditures
of $1000.00 or more shall not be approved by the Executive Board without first obtaining a vote of approval from membership
at a general business meeting.
To obtain reimbursement, the member shall submit the written
along with receipts to the Treasurer. Reimbursement request submitted after the adoption of this subsection will not be granted
without meeting all of the requirements of this subsection. No exceptions
GIPPHC members
who anticipate incurring expenses for club related activities should (after obtaining proper Board approval) seek to have
the company invoice. If this is not possible, then submit the receipts to the Treasurer as indicated in the last paragraph.
ARTICLE VII - CODE OF CONDUCT:
"CODE OF CONDUCT"
It
is the intention of the "GIPPHC" to provide social and charitable activities for the enjoyment and benefit of all our members. guest, host, and charities.
All members of the organization shall be required to treat fellow members, guest, and host and their personal property with
respect. Members also agree to abide by all local, state and federal laws (including but not limited to) governing misuse
of personal privileges, personal property and controlled substances.
Members of the GIPPHC, by virtue of their membership agreement, agree to demonstrate personal responsibility for
their words, actions, and deeds and not to exhibit behaviors that are harmful to themselves and other members, guest, and
host or their personal property. We seek to provide a pleasant atmosphere in which to share our common love of music and tales
of Jimmy Buffett and to further the charitable ideals that we seek to uphold.
GIPPHC will
not condone behavior contrary to our objectives nor which we feel is harmful or injurious to others. By virtue of your membership
in the "Gators in Paradise Parrot Head Club" you have agreed to "Party with
a Purpose" in a most responsible fashion!
Article VIII - Voting
A quorum of Board members is necessary at any business meeting, which
has been communicated in good faith.
